Terms of Service

These terms govern access to and use of NUWA Technology services, including the NUWA marketplace app, website and restaurant commerce platform.

1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and NUWA Technology Pty Ltd ("NUWA", "we", "us" or "our"). By accessing or using our website, marketplace app, ordering services, booking services, loyalty features, payment flows or related technology services, you agree to these Terms.

If you do not agree to these Terms, you must not use the services.

These Terms are intended for users in Australia. Nothing in these Terms excludes, restricts or modifies consumer guarantees, rights or remedies that cannot lawfully be excluded under Australian Consumer Law.

2. Our Services

NUWA provides restaurant commerce technology. Depending on the product or venue, this may include venue discovery, digital menus, ordering, booking, payment processing, loyalty and offers, customer support, operational tools and related communications.

We may update, change, suspend or discontinue parts of the services from time to time, including to improve functionality, maintain security, comply with law, or support participating restaurants.

3. Accounts and Eligibility

You may need an account to use some NUWA services. You agree to provide accurate information, keep your login details secure, and tell us promptly if you suspect unauthorised access to your account.

You are responsible for activity that occurs through your account, except to the extent caused by our breach of these Terms or applicable law.

You must be at least 13 years old to use the NUWA marketplace app. If you are under 18, you must have permission from a parent or guardian to use services that involve payments, orders or bookings.

4. Orders, Bookings and Payments

When you place an order or booking through NUWA, you are making a request with the participating restaurant or venue. Acceptance, preparation, fulfilment, availability, substitutions, dietary handling and service quality are primarily the responsibility of that venue.

Prices, fees, menu items, offers, taxes, delivery charges and availability may change. We try to show accurate information, but errors may occur. A venue may reject, cancel or modify an order or booking where an item is unavailable, information is incorrect, payment fails, suspected misuse occurs, or operational constraints apply.

Payments may be processed by third-party payment providers. You authorise us and our payment providers to charge the selected payment method for confirmed orders, fees and related charges. We do not store full card numbers.

Refunds, cancellations and credits may depend on the venue's policy, payment provider rules and applicable law. Contact us or the relevant venue if you believe a charge or order is incorrect.

5. Restaurants, Delivery and Third Parties

Participating restaurants, delivery providers, payment processors and other third parties may provide parts of the experience. They may have their own terms, policies and operational requirements.

NUWA is not responsible for the acts, omissions, food preparation, allergen controls, delivery performance or venue-specific representations of participating restaurants or third-party providers, except where required by law.

If you have allergies or dietary requirements, you should contact the venue directly before ordering. Digital menu information may not capture every ingredient, preparation method or cross-contamination risk.

6. Acceptable Use

You must not misuse NUWA services. This includes:

  • using the services for unlawful, fraudulent, abusive or harmful activity;
  • placing false, malicious or unauthorised orders or bookings;
  • interfering with service security, availability, operation or infrastructure;
  • scraping, copying, reverse engineering or automated extraction unless we have agreed in writing;
  • uploading or transmitting malicious code, spam or misleading content;
  • impersonating another person or misrepresenting your identity; or
  • infringing the rights of NUWA, participating venues, users or third parties.

7. Intellectual Property

NUWA services, software, designs, branding, content, data structures and related materials are owned by NUWA or its licensors. You receive a limited, revocable, non-exclusive, non-transferable right to use the services for their intended purpose, subject to these Terms.

You retain rights in content you provide to us, but you grant NUWA a licence to use that content as reasonably needed to operate, provide, secure and improve the services.

8. Privacy

Our collection and handling of personal information is described in our Privacy Policy. The Privacy Policy also explains how to request account and data deletion for the NUWA marketplace app.

9. Disclaimers and Liability

We aim to provide reliable services, but we do not guarantee that the services will be uninterrupted, error-free, secure, or available at all times. Service availability may be affected by maintenance, network issues, third-party systems, venue operations or events outside our reasonable control.

To the maximum extent permitted by law, NUWA is not liable for indirect, consequential, special or loss-of-profit damages arising from your use of the services. Where our liability cannot be excluded, it is limited to the remedies required by applicable law.

10. Suspension and Termination

We may suspend or terminate access to the services if we reasonably believe you have breached these Terms, created risk for NUWA, venues, users or third parties, used the services unlawfully, or engaged in fraudulent or abusive activity.

You may stop using the services at any time. You may also request account deletion as described in our Privacy Policy.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be published on this page with a new effective date. If a change is material, we may provide additional notice through the app, website or email.

Your continued use of the services after updated Terms take effect means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of New South Wales, Australia. The courts of New South Wales and the Commonwealth of Australia have jurisdiction, subject to any rights you have under applicable consumer protection laws.
